Who owns the intellectual property a contractor creates?

What makes someone a contractor rather than an employee in Bangladesh?
Control and independence, not the label on the contract. The Labour Act 2006 does not codify a control test, so tribunals look at the substance: who sets the hours, who directs the method, whether the person works for other clients, and how far they are integrated into your organisation. An agreement that calls someone a contractor while treating them as staff will not survive that analysis.
What happens if a labour tribunal challenges a contractor’s classification?
The exposure is retroactive rather than forward-looking. A reclassified contractor can be owed back statutory benefits, festival bonuses, provident fund contributions and leave encashment, and a permanent establishment argument can follow on the tax side. As your Agent of Record we hold the contract and carry the compliance liability attached to it, and we say so before an engagement starts if we do not think the classification will hold.
How do we end an engagement, and what happens to work in progress?
You tell us and we serve notice under the statement of work. Because the relationship is commercial rather than employment, the notice period is the one agreed at signature, not a statutory one. Work already delivered and approved is invoiced in the normal monthly cycle, and IP in completed work has already transferred at settlement, so nothing is left hanging on the final payment.
Is tax deducted at source from contractor payments?
Yes. Payments to contractors in Bangladesh attract tax deducted at source. We withhold it as part of the payment run and remit it to the National Board of Revenue, you receive the deduction detail alongside the monthly invoice, and the supporting documentation is retained on your behalf for the statutory period.
Can a contractor engaged through you also work for other clients?
Yes, and it helps rather than hurts. Genuine independence is one of the factors a tribunal weighs, so a contractor with several clients is easier to defend than one working only for you on fixed hours. If you need exclusivity and full-time attention, that is an employment relationship in substance, and an Employer of Record is the right instrument instead.
