We Are the Company That Legally Employs Your People in Bangladesh

In Short

EOR BD is the Employer of Record and managed workforce business of Eicra Soft Limited, operating from Dhaka Bangladesh since 2007. For companies with no registered entity here we become the legal employer of the people you choose, run their monthly payroll in Taka, withhold and remit their income tax to the National Board of Revenue, and administer their statutory benefits under the Bangladesh Labour Act 2006. You decide who to hire and you direct their work.

That is the whole idea in one sentence. What follows is the long version, because you should be able to see exactly what we run before you talk to anyone. Every service we offer is listed on this page with what is inside it, who it suits, and where the line is drawn. Nothing is held back for a sales call.

We are not a software platform with a Bangladesh page. We employ people here under our own registered entity rather than through a partner network, which means one company is accountable to you from the first contract to the last final settlement.

What an Employer of Record Actually Is

Hiring someone in Bangladesh normally means registering a company first. That means name clearance, a memorandum and articles of association, filing at the Registrar of Joint Stock Companies and Firms, a trade licence, a local bank account and a resident presence. It is a real project, and it has to finish before your first employee can legally start.

An Employer of Record removes that step. We already hold the registered entity. Your chosen candidate signs an employment contract with us under the Bangladesh Labour Act 2006. We run their monthly payroll in Bangladeshi Taka, withhold their income tax and remit it to the National Board of Revenue, administer their statutory benefits, and keep the records. You direct their work exactly as you would your own staff, and you receive one invoice.

Onboarding takes five to seven business days once the role and the terms are agreed. You do not register a company, obtain a trade licence, or open a Bangladeshi bank account. If you later decide you do want your own entity, we handle that too, and the people can move across with their service intact. If you are weighing this against a professional employer organisation instead then the EOR and PEO comparison explains why the two are not interchangeable when you have no company here yet.

The Six Core Services

These are the building blocks. Most clients take the first one and get the rest inside it. Companies that already employ people in Bangladesh often take just one or two.

Employer of Record

We become the legal employer of the people you choose so that you can hire in Bangladesh without a company of your own.

  • Employment contract drafted under the Bangladesh Labour Act 2006
  • Monthly payroll in Bangladeshi Taka
  • Income tax withheld and remitted to the National Board of Revenue
  • Provident fund and festival bonus administration
  • Leave tracking and day to day HR support
  • Offboarding with notice and final settlement

Payroll Outsourcing

Monthly salary processing for a team in Bangladesh with the tax and record keeping attached to it.

  • Gross to net calculation including overtime and leave adjustments
  • Tax deducted at source calculated and filed with the NBR
  • Payment by bank transfer or bKash or Nagad
  • Itemised digital payslip for every employee every month
  • Provident fund and Eid bonus applied on the correct schedule
  • Annual salary and tax certificates for employee filing

Onboarding and Off-boarding

The two ends of the employment lifecycle handled properly so that neither one becomes a dispute later.

  • Contract preparation and new hire information collection
  • e-TIN and National ID documentation
  • Payroll registration and statutory benefit enrolment
  • Policy and workplace orientation
  • Probation review and confirmation dates tracked
  • Exit documentation with final dues and tax clearance

HR Administration

The everyday people operations that a local HR team would normally do run from our Dhaka office instead.

  • Personnel files appointment letters and policy acknowledgements
  • Service book and statutory record keeping
  • Casual sick and earned leave balances and approvals
  • Working hours shift patterns and approved overtime
  • Payroll inputs reconciled before every cycle
  • Headcount and leave reporting for your managers

Payroll Tax Compliance

For companies that already employ people here and need the monthly tax cycle run correctly and evidenced.

  • Tax deducted at source calculated per employee record
  • Gross to net breakdown supplied before payroll is finalised
  • Treasury deposit documentation and the challan trail
  • Withholding return coordinated with the National Board of Revenue
  • Deduction certificates issued to employees
  • Expatriate payroll tax support and tax clearance at end of assignment

Company Incorporation

When you do want your own Bangladeshi company we act as the filing party and carry the file to the certificate.

  • Name clearance held under your proposed company name
  • Memorandum and articles drafted to your shareholding
  • Particulars of directors subscribers and registered office
  • Lodged with the Registrar of Joint Stock Companies and Firms
  • Taxpayer identification number applied for afterwards
  • Private limited One Person Company partnership or branch office routes

The Five Managed Services

These sit on top of the same employment and payroll backbone. The difference is how much of the running we do. Standard Employer of Record covers people you have already chosen. A managed service means we also find them and coordinate them day to day, with a named person in Dhaka accountable for the result. Four of the five need no company of your own. The fifth is the exception and is explained below.

Contractor Management and Agent of Record

We engage contract and pay your independent contractors in Bangladesh and we carry the classification risk rather than leaving it with you.

  • Identity address and bank verification before the first engagement date
  • Localised agreement and statement of work issued in our name
  • Intellectual property assignment and confidentiality written in at signature
  • One monthly invoice in your currency with no exchange rate markup
  • Payment in Taka to a bank account or bKash with tax deducted at source
  • Contracts receipts and filings retained for the statutory period

Managed Remote Teams

A dedicated non engineering team that we recruit employ pay seat in our Dhaka office and coordinate for you every day.

  • Support research data finance and back office functions
  • Sourcing and screening against your scorecard with the final choice yours
  • Desks in our Dhaka office and laptops to your specification
  • A named local lead plus a named backup contact
  • One written report a week at an agreed cadence
  • Replacement at our cost if someone leaves

Offshore Development Center

A dedicated engineering team in Dhaka working only on your product inside your tools and reporting to your engineering managers.

  • Software engineers QA and test automation DevOps and data roles
  • Cloud work across AWS Azure and Google Cloud environments
  • Company provisioned laptops asset tagged encrypted and recovered on exit
  • Repository and cloud access granted on your instruction and revoked same day
  • Access controlled floor with power and internet redundancy
  • A named local HR partner reachable inside your working hours
No Entity Needed to Start

Global Capability Center

Build operate and transfer. We employ and run your team then move the same people into your own Bangladeshi company when you are ready.

  • Transfer terms agreed in writing before the first hire
  • Site lead hired first so there is local leadership from day one
  • Every offer approved by you before it is made
  • Employees offered terms no worse than they already hold
  • Service dates and accrued leave carried across rather than reset
  • Our fee stops on the transfer date
Your Entity Required

Employee Benefits Administration

The one service where you stay the employer. Your company already holds the entity and we run the benefits engine underneath it.

  • Festival bonus gratuity and end of service calculation
  • Provident fund member registration matching and reconciliation
  • Maternity benefit and leave accounting
  • Group health placed with insurers licensed by the IDRA
  • An employee helpdesk in Bangla and English
  • A monthly evidence pack an auditor can open cold

How to Tell Which Service You Need

Eleven services is a lot to read through. This table is the shortcut. Find the row that describes your situation and the middle column names the service. The right hand column tells you the thing that actually matters, which is who legally holds the people.

Illustration of a support specialist wearing a headset pointing across to the service comparison table
If This Is True The Service Who Legally Holds the People
You want one or a few people working for you in Bangladesh and you have no company here Employer of Record We do. Employment contracts held by us
The work is project based and the person sets their own hours and methods Contractor Management and Agent of Record We do. A contract for services held by us
You need a support research finance or back office team run day to day Managed Remote Teams We do plus a named coordinator
You need an engineering team working only on your product Offshore Development Center We do. Your codebase and process stay yours
You want a centre in Bangladesh that you intend to own outright later Global Capability Center We do during build and operate then your entity by transfer
You already employ people here and want the benefits programme run Employee Benefits Administration You do. We run the administration underneath
You already employ people here and only the monthly salary run is the problem Payroll Outsourcing You do
You already employ people here and only the tax cycle is the problem Payroll Tax Compliance You do
You want your own Bangladeshi company from the start Company Incorporation You do once the company exists

The line between the first two rows is the one that carries real risk. If a person is subject to fixed hours company policy and daily supervision then a Bangladeshi labour tribunal may treat them as a worker no matter what the contract is called. We check that before we sign anything and we say so plainly when the answer is uncomfortable.

What We Handle and What Stays With You

This is the part people get wrong about Employer of Record. We take the employment and everything administrative attached to it. We do not take over your business. You still choose who works for you and what they do.

Area Stays With You Moves to Us
Direction of the work You set priorities assignments and deadlines Nothing. We do not direct your people
Hiring decisions You choose the candidate and approve the package Sourcing screening and the offer paperwork
Employment contracts You approve the terms Drafted issued and held by us in Bangladesh
Monthly payroll You approve the run before it goes out Calculated disbursed in Taka and reconciled
Tax and statutory filings Nothing to prepare or submit Withheld and remitted to the NBR on schedule
Benefits You choose what the package contains Enrolment claims and the statutory calendar
Tools data and intellectual property Yours throughout. Nothing is licensed to us Assignment written into every contract at signature
Records and compliance liability Access to any record on request Retained for the statutory period and carried by us

The Rules We Work Under

Everything above sits on Bangladeshi law rather than on our own policies. These are the instruments that decide what an employer here must do and the authorities that enforce them. We name them because you should be able to check us against a source rather than take our word for it.

Instrument or Authority What It Governs for You
Bangladesh Labour Act 2006 Employment contracts appointment letters leave festival bonus maternity benefit overtime notice and end of service pay
Labour Amendment Act 2026 Amended the 2006 Act with effect from 10 April 2026 and changed who counts as a worker along with lay off and continuous service rules
Bangladesh Labour Rules 2015 The detail underneath the Act including the festival bonus rule
Income Tax Act 2023 Salary deduction at source treasury deposit and the withholding return
National Board of Revenue Income tax rates thresholds and the monthly filing your payroll feeds
Companies Act 1994 Company registration the memorandum and articles and the statutory filing deadlines
Registrar of Joint Stock Companies and Firms Where a company or a firm is actually registered
Bangladesh Investment Development Authority Branch and liaison office permission work permits and expatriate approvals
Insurance Development and Regulatory Authority Licenses the insurers that any group health plan must be placed with
Personal Data Protection Act 2026 Treats health information as sensitive and restricts sending national identity documents abroad

The sections we are asked about most often sit in the Bangladesh Labour Act 2006. Section 2(65) decides who counts as a worker. Section 5 requires the appointment letter. Section 26 sets notice and end of service pay. Sections 46 to 50 govern maternity benefit. Sections 100 to 108 cover hours and overtime. Sections 115 to 118 cover leave and holidays. Rule 111(5) of the Bangladesh Labour Rules 2015 governs the festival bonus.

Where our own reading of a provision differs from what is commonly published we say so on the FAQ page and show the section rather than asking you to take our word for it.

Rates thresholds and rules change with each Finance Act and each amendment. We track those changes and update contracts payslips and policies rather than leaving you to notice them. If you want to see how we handle a change in practice our payroll tax compliance page sets out the monthly cycle we run and the evidence we keep, and our guide to employer costs in Bangladesh shows how a rate change lands on the payroll.

What We Will Tell You Not to Buy

A company that sells eleven services has an obvious incentive to sell you the biggest one. We would rather tell you the truth on the first call than argue about scope in month four. These are the things we say no to and they are on this page for the same reason.

  • An Employer of Record is the wrong tool sometimes. If you need a registered entity to sign local contracts or hold a licence, if you want to own local intellectual property through a Bangladeshi company, or if your headcount is large enough that a per employee fee costs more than running your own entity, then incorporation is the better answer and we will say so.
  • You may not need the management layer. If you already have a manager with the time and the time zone overlap then plain Employer of Record is enough on its own and it costs less than a managed remote team.
  • We do not build campuses. We build the first three to thirty seats and the legal structure underneath them. If your requirement is two hundred seats in year one then we are the wrong provider and you will hear that on the first call rather than after the contract is signed.
  • We do not write your code. An Offshore Development Center is a team of your own that you direct. If what you want is a software project built and delivered then that is the work of our parent company Eicra Soft Limited and not of this service.
  • Benefits administration needs your own entity. If you do not have one then the benefits work is already inside our Employer of Record service and buying it separately would be paying twice for the same thing.
  • Incorporation has a boundary and we write it down first. Our scope covers name clearance the constitutional documents the filing Registrar queries and the taxpayer identification number. It does not cover the trade licence sector licences or opening the bank account itself which the bank conducts with the signatories directly.
  • We do not publish certification badges. If your procurement team requires a specific standard then ask us and we will tell you what we do and do not hold rather than putting a logo on a web page.
  • An Employer of Record reduces permanent establishment risk but does not eliminate it. It puts legal distance between you and the individual which removes many common triggers. Anyone who tells you it removes the risk entirely is overselling.

How an Engagement Starts

The same four steps whichever service you end up with. Nothing is charged and nothing is signed until you have the written quote in front of you.

1

You Tell Us the Shape of It

The roles the headcount and a target start date. If you already have candidates send their expected gross salaries too. That is enough for a quote.

2

We Come Back in Writing

A written quote with the service that fits the employment cost including statutory items and a dated start plan. A specialist in our Dhaka office writes it rather than a chatbot.

3

We Contract and Onboard

Contracts issued under Bangladeshi law documents and identity verified tax and provident fund registration completed and the first payroll cycle set up.

4

We Run It and You Direct It

Monthly payroll and filings on schedule with a named contact in Dhaka. You manage the work. Add or release seats as your plan changes.

Where We Are and When You Can Reach Us

One office one team and one number. Visitors are welcome. If you would rather see how the model works step by step before you get in touch then how our EOR service works and the step by step hiring process cover the mechanism and the timeline in detail.

Common Questions About Working With Us

Do I need to register a company in Bangladesh before I can hire?

No. Our entity is already registered and tax compliant, so your employees are hired under it from day one. Registration is only needed if you want your own legal presence here, and if you decide you do we handle that separately.

Who is legally the employer and who directs the work?

We are the legal employer of record under the Bangladesh Labour Act 2006. We hold the employment contract, run monthly payroll in Taka and carry the compliance risk. You direct the day to day work exactly as you would with your own staff. The one exception is employee benefits administration, where you already hold the entity and stay the employer while we run the administration.

How quickly can someone actually start?

Onboarding completes in five to seven business days once contracts are agreed. That covers the compliant employment contract, document collection, identity verification, tax registration and setting up the first payroll run.

Can I start with one person?

Yes. Employer of Record and contractor management both run from a single person, and many companies start with one hire to test the market. A managed remote team is worth discussing from roughly three people upward, and an offshore development centre makes sense at larger engineering headcounts.

What do you need from me before you can send a quote?

Three things. The roles, the headcount and a target start date. If you already have candidates, send their expected gross salaries as well.

Can we move to our own entity later without disrupting the team?

Yes, and it is written into the agreement rather than negotiated at the end. Employees are offered terms no worse than they already hold, and their service dates and accrued leave carry across rather than reset. Our fee stops on the transfer date and there is no interim company of ours for you to buy.
