Welcome to eor.bd. These Terms and Conditions (“Terms”) govern your use of our website and the Employer of Record (EOR) services provided by eor.bd.

By accessing our website or engaging our services, you (“Client,” “Foreign Company,” or “User”) agree to be bound by these Terms. If you do not agree, please refrain from using our platform or services.

1. Scope of Services

eor.bd provides a Reliable EOR Service for Foreign Companies looking to hire talent in Bangladesh. Our services include, but are not limited to:

  • Acting as the legal employer for your workforce in Bangladesh.

  • Managing monthly payroll, tax withholdings, and statutory contributions.

  • Ensuring full compliance with the Bangladesh Labour Act.

  • Administering employee benefits, HR support, and employment contracts.

2. Nature of Relationship

  • The EOR Model: The Client acknowledges that [Company Name/eor.bd] is the legal employer of the personnel in Bangladesh, while the Client maintains the day-to-day functional supervision of the employees.

  • No Joint Employment: These Terms do not create a partnership, joint venture, or agency relationship between the Client and [Company Name/eor.bd] beyond the scope of the EOR service agreement.

3. Compliance and Legal Obligations

As a Trusted Employer of Record for International Businesses, we ensure that all employment contracts comply with local laws.

  • Local Regulations: We handle all mandatory filings with Bangladesh authorities (e.g., NBR for taxes).

  • Client Responsibility: The Client must provide accurate job descriptions and ensure that the work performed by employees does not violate any Bangladesh laws or international trade sanctions.

4. Payments and Fees

  • Service Fees: Fees for our International Employer of Record Solution are billed monthly as per the specific Service Agreement signed by the Client.

  • Payroll Funding: The Client must remit the total payroll amount (including salaries, taxes, and EOR fees) by the [Insert Date, e.g., 25th] of each month to ensure timely payment to employees.

  • Currency: Payments are typically processed in [USD/BDT] as agreed upon in the individual contract.

5. Intellectual Property

  • All work product created by the employees for the Client during the term of their engagement shall be the sole property of the Client, unless otherwise specified in the local employment contract.

  • The content, branding, and proprietary technology on the eor.bd website are the intellectual property of [Company Name].

6. Confidentiality and Data Protection

  • We adhere to strict data privacy standards to protect the information of our Clients and their employees.

  • Both parties agree to keep all commercial terms, trade secrets, and employee personal data confidential.

7. Limitation of Liability

While we provide a Global EOR Service for Overseas Companies with maximum due diligence, [Company Name/eor.bd] shall not be liable for:

  • The professional output or conduct of the employees supervised by the Client.

  • Indirect, incidental, or consequential damages arising from the use of our platform.

  • Delays caused by third-party banking systems or government processing.

8. Termination

  • Either party may terminate the EOR arrangement by providing written notice as specified in the Service Agreement (typically 30–90 days).

  • Upon termination, the Client is responsible for all outstanding payroll obligations and any statutory severance pay required under Bangladesh law.

9. Governing Law

These Terms and any disputes arising from our EOR service in Bangladesh shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any legal actions shall be settled in the courts of Dhaka, Bangladesh.
